General Terms and Conditions

1. Scope of Application

These General Terms and Conditions apply to all contracts, deliveries, and services between SEVOCOMM BV (hereinafter "SEVOCOMM") and its customers.

2. Services

SEVOCOMM provides professional telecom engineering and consultancy services, including but not limited to:

• Telecom network design and planning
• Site surveys and audits
• Technical consultancy services
• Information security assessments
• Software license sales

3. Quotations and Orders

3.1. All quotations are valid for 30 days unless otherwise stated.
3.2. Orders become binding upon written confirmation by SEVOCOMM.
3.3. SEVOCOMM reserves the right to refuse orders without providing reasons.

4. Prices and Payment

4.1. All prices are in EUR and exclusive of VAT unless otherwise stated.
4.2. Payment terms: Net 30 days from invoice date (EU Regulation (COM(2023)228)) unless otherwise agreed.
4.3. Late payment may result in interest charges at the statutory rate.
4.4. Software licenses are non-refundable after delivery.

5. Delivery and Performance

5.1. Delivery dates are approximate unless expressly agreed as binding.
5.2. Software licenses are delivered electronically via email.
5.3. Consultancy services are performed according to agreed schedules.

6. Intellectual Property

6.1. All intellectual property rights in deliverables remain with SEVOCOMM unless explicitly transferred.
6.2. Software licenses grant usage rights as specified in the license agreement.
6.3. Documentation and reports may not be reproduced without written permission.

7. Liability

7.1. SEVOCOMM liability is limited to direct damages up to the invoice value of the specific service.
7.2. SEVOCOMM is not liable for indirect or consequential damages.
7.3. Services are provided "as is" with professional care and diligence.

8. Confidentiality

Both parties agree to maintain confidentiality of all non-public information exchanged during the business relationship.

9. Data Protection

Personal data is processed according to our Privacy Policy and applicable GDPR regulations.

10. Termination

Ongoing service contracts may be terminated with 30 days written notice unless otherwise agreed.

11. Applicable Law and Jurisdiction

These terms are governed by Dutch law. Disputes shall be resolved by the competent courts in the Netherlands.

12. Shop-Specific Terms

Software Licenses:

• Licenses are delivered instantly via email after payment confirmation
• No refunds after license delivery
• Valid VAT number required for 0% VAT (reverse charge) on EU B2B orders
• Support terms as specified in license documentation
